Mutual Holding Company Conversion
Early in 2026, Farmers Alliance Management recommended, and our Board of Directors supported, our conversion to a mutual holding company structure effective January 1, 2027. This structure positions us for long term strength while preserving our mutuality. We want you to be well informed throughout this process. This site is designed to provide you with detailed information about the conversion and help guide you in your voting decision.
Why convert? We are pursuing this conversion primarily because it will provide us with greater capital flexibility. A mutual holding company structure gives us the ability—when and if needed—to raise capital or acquire other companies without disrupting our focus on our policyholders. While having this flexibility is valuable for the future, we have no current plans to use the structure for acquisitions or to raise capital, nor will this transition impact our products, rates, or service commitments. This is about being responsibly prepared for the future.
What’s next? Though increasingly common in our industry, a change of this type requires significant regulatory involvement, designed to protect all parties. The Kansas Department of Insurance has an extensive approval process, including a public hearing held on April 10, 2026. The Department has now authorized us to proceed with seeking approval from our policyholders through the distribution of proxy voting cards and holding a voting process which concludes at a Policyholder Meeting to be held in McPherson, KS on June 26, 2026 at 10 am Central Time.
